Terms and Conditions;

The terms and conditions of the agreement is between YM Fashion Co. (UK) Limited (referred to as “us”,“our” or “we” in these terms) and the customer (referred to as “you” or “your” in these terms) wishing to use the business directory listing service on our website at www.yshlondon.com (“the Business Directory”).

1.    Terms of use

1.1    You are entitled to list a business in our Business Directory providing you agree to these terms of use. If you do not agree to these terms of use, you must not use the listing service. If you use the listing service you will be deemed to have accepted these terms.

1.2    We reserve the right to change these terms of use by notifying you of the updated terms and conditions showing any changes.  

2.    Privacy

2.1    We are committed to protecting your privacy.  Only authorised employees within the company are permitted to use any information collected from individual customers.  Parliament has created specific offences for unauthorised actions against computer systems and data.  We will investigate any such actions with a view to prosecuting and/or taking civil proceedings to recover damages against those responsible.

2.2    We are registered under the Data Protection Act 1998.  If you have any questions about our registration or the information we hold on you please contact info@yshlondon.com.

2.3    We will not sell, share or rent your personal information to any third party or use your e-mail address for unsolicited mail from third parties.  Any emails sent by this Company will only be in connection with the provision of agreed services and products.

3.    Subscription & Cancellation

3.1    In consideration of the fee of £5 per annum per listing on the Business Directory paid by you, we hereby agree to upload the listing details provided by you onto the Business Directory subject to these terms and conditions.

4.    Payment & Refunds

4.1    Cheques and BACS transfer are acceptable methods of payment.

4.2    We have the right in our sole discretion and at any time to make any changes to our fees, payments, payment processing and collection methods.

4.3    You shall pay any sums due to us in the applicable currency without any set-off, deduction, counter-claim and/or any other withholding of monies.  Exchange rate differences may apply to payments where applicable.

4.4    We do not provide refunds unless we consider in our sole discretion that extraordinary circumstances apply.  If you believe that you have a legitimate right to any refund, or you have any payment or billing enquiries, then you must contact us at info@yshlondon.com giving a full explanation of your request.

5.    Business Directory

5.1    You will be responsible for providing us with the information regarding the business listing to be uploaded onto the Business Directory. We will provide you with details of your listing only. Any changes that you wish to be made to your listing can be made by contacting us.

5.2    We accept no responsibility for ensuring the accuracy, completeness or suitability of the information you provide us for listing on the Business Directory, nor for managing and updating the information you provide.

5.3    We reserve the right to refuse to list on our Business Directory any business which in our absolute discretion we deem to be unsuitable or inappropriate for listing in the Business Directory.

6.    Intellectual property

6.1    The Business Directory and all of the related pages on our website, including but not limited to content, software, code, graphics or other material contained either in the sponsor advertisements or electronically distributed on our website is owned by us or the sponsors or both and is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Unauthorised use of any copyrighted materials, trademarks or any other intellectual property without the expressed written consent of the owner is strictly prohibited.

6.2    In the event that you consider that your intellectual property rights have or are being infringed arising out of any content contained on the website or in a communication then please notify us as soon as possible at info@yshlondon.com.

7.    Warranties

7.1    We do not give any warranty, condition, guarantee or representation, express or implied, relating to information contained on or availability of the Business Directory or to any website to which it is linked.

7.2    The Business Directory contains data inputted onto the website by YshLondon. We make no representations or warranties or guarantees, express or implied, as to the accuracy, completeness or suitability for any purpose of the information and related graphics published on the Business Directory by us, nor the availability of the Business Directory. Further, we cannot accept any liability whatsoever for any error, misrepresentation or inaccuracy of any kind or any loss arising there from.

7.3    We do not warrant that the Business Directory will be free of error or that the Business Directory is free of computer viruses or other harmful applications.

8.    Visitor Material and Conduct

8.1    Other than personally identifiable information, which is covered under our Privacy Policy, any material you provide us with for uploading onto the Business Directory will be considered non-confidential and non-proprietary.

8.2    We will not upload any material onto the Business Directory which is:
(a)    that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience;
(b)    for which you have not obtained all necessary licences and/or approvals;
(c)    which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party, in the UK or any other country in the world; or
(d)    which is technically harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data).

10.    Limitation of liability and Disclaimer

10.1    We shall not be liable to you, except in respect of injury or death of any person (for which no limit applies within the jurisdiction of England and Wales) regardless of the form of action, whether in contract, tort (including negligence and breach of statutory duty), strict liability, or otherwise whatsoever, for any loss of profit, business, contracts, or revenues, or for any special, indirect or consequential damage of any nature whatsoever arising directly or indirectly out of your use of the Business Directory.

10.2    We do not warrant that the Business Directory will meet your requirements, purpose and/or expectations, nor that any of the content on the Business Directory is accurate or complete and we are under no obligation to verify any such content.

10.3    The Business Directory and its content are provided “as is” and on an “as available” basis without any representations or any kind of warranty made (whether express or implied by law) to the extent permitted by law, including the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility and security.

11.    Severance

If any term is held to be invalid, unlawful or unenforceable, it shall not affect the enforceability of any of the remaining terms.

12.    General

12.1    You agree that no joint venture, partnership, employment or agency relationship exists between you and us as a result of this agreement or your use of the Business Directory.

12.2    We may assign or transfer ownership of and benefits of these terms and conditions to a third party at any time without your consent.

12.3    These terms and conditions contain the entire agreement between us and supersede all prior agreements, arrangements and understandings between us.

12.4    If any provision of these terms and conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of the terms and conditions and the remainder of the affected provision shall be unaffected and shall remain in full force and effect.

12.5    Waiver by us of any breach of the terms and conditions shall be considered as a waiver of any subsequent breach of the same provision or any other provision.

12.6    These terms of use shall be governed and construed in accordance with English law and be subject to the exclusive jurisdiction of the English courts.

12.7    Notices to you may be made via either email or regular first class mail.  Notices to us shall be made by email to info@yshlondon.com.

12.8    Headings in these terms and conditions are for ease of reference only and shall not affect their interpretation.

12.9    All third party rights are excluded and no third parties shall have any right to enforce the terms and conditions.  This shall not apply to our associated companies who shall have the right to enforce the terms and conditions as if they were us.
